These Terms of Service ("Terms") govern your access to and use of the website openlattice.ai and the products and services provided by Open Lattice, Inc. ("Open Lattice", "we", "us") (collectively, the "Services"). By using the Services, you agree to these Terms.
Open Lattice provides an agentic computational chemistry platform that plans, executes, and analyzes molecular simulations. Some features (such as the research portal) may be offered in early access or by invitation and may change, be suspended, or be discontinued at any time.
The Services are intended for professional, academic, and research use. You must be at least 16 years old to use them. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. You are responsible for maintaining the confidentiality of any credentials issued to you.

Certain Services are provided for a fee. Payments are processed by Stripe and are subject to Stripe's terms. Except where required by law, fees are non-refundable. We will communicate pricing and any changes to it before they apply to you.
The Services, including all software, models, workflows, documentation, and content provided by us, are owned by Open Lattice or its licensors and are protected by intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to use the Services for your internal research and business purposes.
You retain ownership of the data and structures you submit to the Services ("User Content"). You grant us a limited license to process User Content solely to provide and improve the Services. Simulation results generated for you belong to you.
Computational predictions are inherently approximate. Results produced by the Services — including energies, structures, reaction pathways, and property predictions — are provided for research purposes only and do not constitute engineering, medical, safety, or regulatory advice. You are solely responsible for validating results before relying on them, including through experiment where appropriate.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPEN LATTICE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE (OR USD $100 IF YOU HAVE PAID NOTHING).
You agree to indemnify and hold harmless Open Lattice from claims arising out of your violation of these Terms or your misuse of the Services.
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms or if we discontinue the Services. Sections 5–9 survive termination.
We may update these Terms from time to time. We will post the updated version on this page with a revised effective date; material changes will be communicated on our website. Continued use of the Services after changes take effect constitutes acceptance.
These Terms are governed by the laws of the jurisdiction in which Open Lattice, Inc. is incorporated, without regard to conflict-of-law principles. Disputes will be resolved in the courts of that jurisdiction.
